The Southeastern Sports Officials' Association, LLC.,

BYLAWS

 
 

The name of this organization shall be the Southeastern Sports Officials Association, a Not-For-Profit Limited Liability Corporation of the State of North Carolina.

 
ARTICLE I - PURPOSE
 

The purpose of the Southeastern Sports Officials Association shall be to assist Regional Supervisors in the recruitment, training, and development of officials. To encourage uniform interpretation and consistent enforcement of rules governing athletic competition; and to provide educational resources and programs to advance the skills of athletic officials.

 
ARTICLE II - MEMBERS
 

Section 1. Membership

An individual requesting membership in this organization shall file an application with a Regional Supervisor or Secretary. A favorable vote of the Board shall establish such person as a member of the Southeastern Sports Officials Association upon receipt of their annual membership fees.

Section 2. Eligibility

Subject to the requirements of this Article, any person who registers with the Southeastern Sports Officials Association and is in good standing with the North Carolina High School Athletic Association, (NCHSAA) and agrees to abide by these By-Laws and all policies and procedures of the NCHSAA, Local Education Authorities (LEA), and the Southeastern Sports Officials Association shall be eligible for membership.

Section 3. Termination of Membership

An individual’s membership may be terminated or suspended by a majority vote of the Regional Supervisors for, but not limited to;

a. Unethical or immoral conduct;

b. Charged or convicted of any misdemeanor involving moral turpitude or a felony,

c. Failure, on at least two occasions in one sports season, to work any contest duly assigned,

d. Any violation of these Bylaws, policies, or procedures set forth by either the NCHSAA, LEAs, or Regional Supervisors,

e. Unprofessional behavior on social media (See NCHSAA policy on the use of social media by officials),

f. Any act or misconduct determined by Regional Supervisors.

 
ARTICLE III - MEETINGS
 

Annual Regional Supervisors Meeting: Regional Supervisors shall meet annually prior to July 30 of each year to select and appoint members to the Board of Directors by a majority vote of Regional Supervisors present.

Board of Directors Meetings: Board of Directors will meet prior to each sports season Fall, Winter, and Spring. The time and place will be determined by the Regional Supervisors.

Special Meetings: Special meetings may be called by the Regional Supervisors.

Notice Of Meetings: Notice of meetings shall state the purpose, date, time, and location which shall be communicated to the members of the Board of Directors not less than 10 days prior thereto and not more than 60 days before. It will be the responsibility of the Secretary to publish electronic notifications of meetings.

 
ARTICLE IV - BOARD MEMBERS
 

Section 1. Board Members: Except for Regional Supervisors, Board members shall only hold one position on the Board of Directors, at the same time.

1. The positions selected by Regional Supervisors: Chairman, Vice Chairman, Treasurer, and Secretary shall have a term limit of three (3) years.

2. Only a Regional Supervisor may serve as Chairman or Vice Chairman.

3. Individuals may serve consecutive terms with Board approval.

4. Individuals serving in these positions may be removed by a simple majority of Regional Supervisors for any reason.

Board Of Directors Positions

1. Regional Supervisors. The NCHSAA selects Regional Supervisors for each sport.

2. Board Chair.(Selected by Regional Supervisors) Coordinates and conducts quarterly meetings and any special meetings as required. Terms of Service shall be three (3) years.

3. Vice Chair. (Selected by Regional Supervisors) Assumes duties of the Chair in their absence. Chairs any special committees as appointed by the Chair. Terms of Service shall be three (3) years.

4. Grievance Committee Chair. (Selected by Regional Supervisors). Selects officials and a Regional Supervisor to serve on a grievance committee in the event a grievance is formally presented to the Board of Directors.

5. Secretary (Selected by Regional Supervisors) Maintains minutes of all meetings of the Board of Directors. Performs other duties as assigned by the Board of Directors. Terms of Service shall be three (3) years.

6. Treasurer (Selected by Regional Supervisors) Maintains the funds of the Southeastern Sports Officials Association. Maintains and presents quarterly and yearly financial reports at each meeting and/or when requested. Terms of Service shall be three (3) years.

School Representatives. are not considered when determining a quorum and have voting privileges when present.

Section 3. Compensation. The Board of Directors shall not receive compensation for their services.

Section 4. Duties and Responsibilities. The Board of Directors shall adopt policies and procedures in the best interest of the Southeastern Sports Officials Association.

Section 5. Notice of Meetings. It shall be the duty of the Secretary to notify all members of the Board of Directors at least five (5) days before a meeting. The Secretary/Regional Supervisors may use electronic/digital resources for notifications.

Section 6. Quorum. Four (4) members of the Board of Directors (excluding School Representatives) shall constitute a quorum for transacting business.

Section 7. Board of Directors Action and Notifications.

a. The Board of Directors. Except as otherwise provided in these Bylaws, the act of the majority at a meeting in which a quorum is present shall be the act of the Board of Directors.

b. Notifications. The Secretary/Regional Supervisors may use electronic/digital resources to communicate with members as needed.

 
ARTICLE V - DUES - FISCAL YEAR
 

Section 1. Annual Dues. Each member shall pay annual dues in the amount that is set forth by the Board of Directors each year.

Section 2. Delinquent Dues. Failure by any member to pay annual dues by the due date established by the Board of Directors may forfeit their membership.

Section 3. Fiscal Year. The fiscal year of the Southeastern Sports Officials Association shall be July 1st to June 30th.

 
ARTICLE VI - AMENDMENT OF BYLAWS
 

These Bylaws may be amended or repealed by the majority of Regional Supervisors.
